I'm not sure what is happening here, but when I upgraded from TB2P to TB3P I get a password dialog asking for master password for the Software Security Device. I've never set a master password for TB and I can't close the window now.
Luckily, I was able to revert to TB2 and keep my data. Does anyone have any idea what I need to do to keep the password dialog from coming up when I upgrade to TB3?

I have this too. It asks twice to enter a master password. As I didnt use one I clicked cancel after it asks for the email account password.
"Please enter the master password for the Software Security Device"
It seems that TB3 defaults to using a master password (looking at the settings) and I cant untick it unless I enter a master password.
This started with the migration 'wizard' which seemed very unclear to me what was happening.
I do have access to all emails it seems so the master password is skipped or just only for the account and not for the emails?
Well I still find the layout confusing a bit so I have to research to how to use it before I switch and hopefully I find the correct way of handling that security device stuff. For now Im manually copying the very last emails as I made the backup yesterday so if I revert to two I dont miss those.
Also a large part of the screen is used by mail header, something you used to be able to collapse and resize. Looking how I can collapse that.
PS I also read about a certificate (DigitalSignature) that causes asking for master password? Do you have a certificate? Would having a cert force TB3 to set master password?
I didn't have the issue with the master password on upgrade. It's possible you set one at some point and now it thinks it is back. You may have to manually edit your profile to get rid of it.
As for collapsing the header, you need an extension to get the old headers back to do it.

[edit2] perhaps it uses the same masterpassword as Firefox portable? Oh I don't know, maybe the first is asking to set the pw. Then in the tools I could untick it using the entered one that it asked for when starting. Kinda confusing but it solved the issue for me, it now doesnt ask for masterpassword anymore.
I also need to enter my mail password again.
I'm pretty sure I didn't set a pass before but who knows, im using it for years.
The header collapsing can be done through the view menu although I miss the plus sign that used to be there to view it.

Problem I have now is:
Sending of message failed.
An error occurred sending mail: Unable to authenticate to SMTP server smtp.xxxxx.nl. It does not support authentication (SMTP-AUTH) but you have chosen to use authentication. Uncheck 'Use name and password' for that server or contact your service provider.
I read somewhere that some (european) providers don't need password to send mail. I guess its strange TB3 changes these things. TB2 and 1 didnt gave these password related issues. I have to dig again into settings.
The account wizard starts from best and works its way down to worst in terms of connection methods. So it starts with IMAP and if that fails, moves on to POP. And it starts with more security (SSL+password) and then moves down to less.
Any email provider without password protection should be ditched.

I don't know John. I just get that error when trying to reply on a received email. And that remark about euro ISP is something I read in a Thunderbird beta forum topic from Mozilla. But whatever the reason, the end result is for now the same, I can't send email.
For now I reverted to Thunderbird 2 until I have found out what causes the problem. (IE why I could send in TB2 and not in TB3)

Well whan I started TB3 it asked for that password. I just entered a password and then went to options to turn off master password. Strange it asked for it in the first place though.
Tools > Options > Security > Passwords
I finally got sending working. I contact my ISP for additional information.

I entered a password too when the box came up, but the box kept coming up. I eventually had to kill TB from Task Manger. When I reverted to TB2, there is a master password, and I can't remove it without the password.
When I entered the password I made sure I remembered what I entered in case it was asking for a new one. (Always a good idea to remember what you enter in password fields) I used the password I entered to disable master password.
Also next time I make sure I make a copy of the portable application before installing or upgrading so in case things go wrong I always be able to put the copy back.
John, maybe its a good suggestion to add a checkbox to some installers to make a quick copy/backup of the data folder (or whole portable application) in case things go wrong. Then people have a way to revert to the last working version.

[edit] PS. The password box kept popping up to ask you for the master password again each time you start the app untill you disable it through the options.
The local apps don't do it either. It just over complicates things. And in this instance, it looks like it was just tweaking a setting.
The local version of TB will have this same issue with a similar profile.

I followed the instructions to reset my Master Password in TB2 then upgraded to TB3. It would seem that TB3 uses the Master Password more than TB2 did. It seems like it is more like FireFox now where you have to enter the Master Password before you can even check your mail with saved passwords; that wasn't the case with TB2.
I know local apps don't do that. I thought that would/could be innovation
Anyway I should make sure myself to make a manual backup copy of apps with user information before upgrading so that if something goes wrong (ie flash drive problem or just another issue) I always have the previous version to fall back to and retry.
I know it could be over complicate things from a launcher perspective (checking previous version, make a quick copy before install) but while it goes okay many times, it only has to go wrong one time and you possibly could lose info.
It overcomplicates things from a general user perspective when we're supposed to be simplifying them. We have a backup tool built in that will become more prominent shortly.

Master password required to use 3 after update.
I tried to remove my master password with this from Thunderbirds website.
Thunderbird 2 and above: Choose Tools – Error Console, paste the expression: openDialog("chrome://pippki/content/resetpassword.xul") and press the Evaluate button. That will open a dialog asking you if you want to reset your password.
Problem is I get Thunderbird errors out I click the ok to remove the master password, and then when I restart all the old stuff is still that.
Is there a diff way to do it with the portable apps...?
