I know there are many forums about removing U3 and adding portableapps, but this is different. I would like to remove U3, but I would like to keep my password protection. I dont care about the auto starting or any of that.

Adding to Tim's comments;
The password protection you are currently using is part of U3. So, when you remove U3, the password protection will be removed as well. But, don't give up hope!
There is another tool available called TrueCrypt that can be installed on a USB drive and can provide even better protection. Do a web search for TrueCrypt and read up on it. I'd suggest trying it on a smaller scale before committing your USB drive. It can also be used to encrypt and even hide directories on your other equipment.

actually, it's the U3 controller-chip that takes care of
password-protection. U3 software can access the controller
via the U3 dapi.dll but when you remove the U3 software
(and the CD-device) you also remove that dll .
Maybe if you disable autorun in the U3-launchpad the
PW-function will still work ? Can't test it for you,
all my U3 drives have alternative launchers
If you disable "autorun", as you put it, the "LaunchPad" will not run.
When you try to access the writable partition you will will be prompted for the password.
At this point "U3" will launch long enough for you to enter the password and then will exit after granting access.
So you ARE and you AREN'T using U3/the LaunchPad depending on how you choose to interpret what part is doing what.
So while you may not be "actually" using the launchpad you are "technically" using U3.
By the way this is/may not be true of older versions of U3.

I'll just stick with adding passwords to zip folders, and try out truecrypt.
