ClipGrab is under the GPL license and thus Open Source software. The developer of the program (Philipp Schmieder) has documented this explicitly in a German forum at the end of his first contribution. Also confirms every website (which offers the download of the program) the Open Source license. In line with the GPL, the developer has offered on its website http://clipgrab.de/ the source code for download.
And in analogy to DamnVid Portable ClipGrab is perfectly legal, since this program offers the possibility to download and convert videos from video sites like YouTube, MyVideo, DailyMotion, Vimeo and MySpass.de.
I think it depends on the video you want to download.
If the video is copyrighted material, its most likely illegally on youtube and thus its illegal to download it from youtube.
But if its for example a how-to-video or a "this is my fist look at Fedora 15/my new Samsung laptop/my garden hose or whatever"-video, its legal to download it.

This restriction on the download of copyrighted material is obvious (except owner gives explicitely material free for download). But this fact applies, of course, no matter what program I use. And thus also on the program DamnVid Portable, which is available for download on PortableApps.com.
