Can't be truely portable. Dependant on .Net 2.0, chances are is not installed on many computers.

but what about the computers that have Net 2.0 installed, for those people it can be portable.

Keeping the .net framework in your flash won't make this tool more portable, the real deal with portable apps is that we don't need to install them to use, but if you have to install the .net framework in order to use an app then it isn't really portable...
